Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the website, mobile experience, patient portal, and related services (collectively, the “Services”) offered by EdgeRxLLC (“EdgeRx,” “we,” “us,” or “our”).

By creating an account, submitting an intake form, purchasing or subscribing to a product or service, or otherwise accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Services.

Eligibility

To use the Services, you must:

  • Be at least 18 years of age.
  • Be a legal resident of, and physically located in, the United States at the time you use the Services.
  • Be legally capable of entering into a binding contract.
  • Provide true, accurate, current, and complete information during intake and registration.
  • Promptly update information if it changes.
  • Not be prohibited from receiving the Services under applicable law.

You are responsible for the accuracy of the health and personal information you provide.

Providing false or misleading information during intake may result in inappropriate treatment recommendations, denial of care, termination of your account, or other consequences permitted by law.

We may verify your identity, age, and state of residence using information you provide, third-party verification services, or government-issued identification.

We may decline to provide Services if we cannot verify required information, if a licensed provider is unavailable in your state, if a particular service or medication is unavailable or prohibited, or if the Services otherwise cannot lawfully or safely be provided.

Nature of the Services

EdgeRx provides a telehealth technology and administrative platform through which eligible individuals may complete an online intake, be evaluated by an independent licensed provider participating in the Wizlo provider network, and, where clinically appropriate, receive a prescription that may be filled through a state-licensed pharmacy.

No Doctor-Patient Relationship Until Accepted

Submitting an intake form or requesting a consultation does not, by itself, create a doctor-patient relationship.

A doctor-patient relationship is formed only if and when a licensed provider reviews your information and affirmatively accepts you as a patient in accordance with applicable law.

Providers retain independent clinical discretion to:

  • Decline to treat an individual.
  • Request additional information or laboratory testing.
  • Decline to prescribe a medication.
  • Recommend a different treatment.
  • Modify or discontinue treatment.

Not an Emergency Service

The Services are not intended for medical emergencies.

If you are experiencing a medical emergency, call 911 or go to the nearest emergency department immediately.

Do not use the EdgeRx website, patient portal, messaging features, or other Services for urgent or emergency medical needs.

Scope of Products and Services

The Services may facilitate access to consultations and, where clinically appropriate, treatment relating to areas such as:

  • Hormone optimization
  • Peptide therapy
  • Performance and recovery
  • Weight and metabolic health
  • Longevity and vitality support
  • Sexual wellness

The availability of any specific treatment, medication, or service depends on factors including your health history, location, applicable law, product availability, and the independent clinical judgment of your treating provider.

Availability of a particular product or prescription is not guaranteed.

Provider Relationship and Independent Clinical Judgment

Licensed physicians and other health-care professionals who evaluate and treat patients through the Services are independent licensed professionals employed by or contracted with [PROVIDER GROUP LEGAL NAME] and made available through the Wizlo provider network.

EdgeRx provides technology and administrative services.

EdgeRx does not make medical diagnoses, prescribe medications, or direct the professional judgment of treating clinicians.

All diagnosis, treatment, prescribing, and other clinical decisions are made solely by the treating licensed provider.

EdgeRx’s administrative role may include technology, marketing, scheduling, billing, customer support, and logistics, consistent with applicable law.

Account and Registration

Certain Services require you to create an account.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring under your account.

Notify us promptly at team@edgerx.com if you believe your account has been accessed or used without authorization.

Intake and Consultation Process

The consultation process generally includes:

  1. Completing an online intake questionnaire regarding your medical history, current medications, health information, and treatment goals.
  2. Review of your information by an independent licensed provider in the Wizlo provider network.
  3. Additional communication, laboratory testing, messaging, or a video visit where clinically or legally required.
  4. An independent clinical determination as to whether treatment is appropriate.
  5. Issuance of a prescription only where the treating provider determines it is clinically appropriate.
  6. Routing an eligible prescription to a state-licensed pharmacy for fulfillment.

Prescriptions and Medications

FDA-Approved and Compounded Medications

Some treatments facilitated through the Services may involve FDA-approved medications.

Other treatments may involve compounded medications prepared by state-licensed pharmacies or outsourcing facilities in accordance with applicable law.

Compounded Medications Are Not FDA-Approved

Compounded medications are not FDA-approved and are not reviewed by the FDA for safety, effectiveness, or quality in the same manner as FDA-approved medications.

Where compounded treatment is prescribed, your licensed provider determines whether such treatment is clinically appropriate for you.

Off-Label Prescribing

A licensed provider may determine that an FDA-approved medication is clinically appropriate for a use other than one specifically included in its FDA-approved labeling.

All such prescribing decisions are made solely by the treating provider based on independent professional judgment.

Nothing on the EdgeRx website, in advertising, educational materials, or other content guarantees that you will receive any particular prescription, medication, or treatment.

Payment, Subscriptions, and Auto-Renewal

Pricing

Prices for consultations, treatments, medications, subscriptions, and related services are presented before purchase and may include:

  • Monthly pricing
  • Quarterly pricing
  • One-time pricing
  • Introductory pricing
  • Other treatment-specific pricing structures

Applicable pricing and billing frequency will be displayed before you complete a purchase.

Prices may change from time to time.

For active subscriptions, we will provide advance notice of applicable pricing changes as required by law.

For California consumers, current law requires specific notice regarding certain fee changes and automatic-renewal arrangements.

Subscription and Automatic Renewal Terms

Certain EdgeRx plans are offered on a recurring subscription basis, including monthly or quarterly plans.

By enrolling in a recurring subscription, you authorize the applicable payment processor to charge your selected payment method for the amount and at the frequency disclosed to you at checkout.

Unless canceled, your subscription will automatically renew at the end of each applicable billing period.

Before enrollment, the applicable recurring terms—including price, billing frequency, renewal terms, and available cancellation methods—will be disclosed to you.

Where required by applicable law, EdgeRx will obtain affirmative consent to recurring charges and maintain appropriate records of that consent.

California law currently requires clear disclosure of automatic-renewal terms, affirmative consent, and accessible cancellation mechanisms for covered California consumers.

Renewal and Pricing Notices

Where required by applicable law, EdgeRx may provide reminders or notices regarding upcoming renewals, promotional periods, material changes, or pricing changes.

For covered California subscriptions:

  • Certain promotional or discounted plans lasting more than 31 days require notice before the promotional period ends.
  • Certain plans with an initial term of one year or longer require renewal notice.
  • Certain fee changes require advance notice.
  • Annual automatic-renewal agreements are subject to annual reminder requirements.

Cancellation

You may cancel an eligible recurring subscription at any time through available cancellation methods, which may include:

  • Your patient portal or account settings.
  • An available online cancellation mechanism.
  • Emailing team@edgerx.com.

Where you enrolled online, an online cancellation method will be provided where required by applicable law.

California currently requires covered online subscriptions to offer an online termination method without unnecessary obstruction or delay.

Cancellation generally takes effect at the end of the current paid billing cycle unless otherwise stated at the time of cancellation or required by applicable law.

You will not be charged for subsequent billing cycles after an effective cancellation.

No cancellation fee is charged unless expressly disclosed and legally permitted.

Failed Payments

Your billing date is generally based on the date of your initial purchase or applicable renewal schedule.

If payment cannot be completed, the payment processor may retry the charge.

EdgeRx may suspend or terminate access to subscription-related non-clinical services where payment remains outstanding, subject to applicable law and any clinical obligations.

Payment Processing

Payments are currently processed through Gr4vy or other payment-processing infrastructure made available through the Services.

EdgeRx does not intentionally store complete payment-card numbers on its website.

Your payment transaction may also be subject to the applicable payment processor’s terms and privacy practices.

Refund and Cancellation Policy

Refund eligibility depends on the status and nature of the applicable service, medication, or order.

Before Fulfillment or Shipment

If an eligible order has not yet been processed, compounded, dispensed, or shipped, a cancellation or refund may be available subject to the applicable Refund Policy.

Prescription Medications

Once prescription medication has been dispensed, compounded, fulfilled, or shipped, it may be non-returnable and non-refundable because of applicable pharmacy, safety, and dispensing restrictions.

Damaged, Incorrect, or Delivery Issues

If an order is damaged, incorrect, missing, delayed, or otherwise affected by a fulfillment problem, contact team@edgerx.com as soon as possible.

Eligibility for replacement, refund, or another remedy will depend on the circumstances and applicable pharmacy and shipping requirements.

Important: client/legal should confirm the exact refund window and whether “unshipped” medication orders can actually be refunded before this section is published.

Shipping

Prescription medications and other eligible products are shipped according to the terms displayed during checkout or fulfillment.

Shipping schedules may depend on prescription approval, pharmacy processing, product availability, carrier operations, and other factors.

Communications Consent

By providing contact information, you may receive service-related, transactional, clinical, billing, or account communications necessary to provide the Services.

Marketing communications are subject to the applicable consent requirements and your communication preferences.

SMS Communications

If you provide your mobile phone number and separately opt in to receive marketing SMS communications, you agree to receive text messages in accordance with our SMS Terms and Conditions.

Consent to receive marketing text messages is not a condition of purchase.

Message frequency varies. Message and data rates may apply.

User Conduct

You agree not to:

  • Provide false or misleading information.
  • Use the Services for unlawful purposes.
  • Attempt to obtain a prescription through fraud or misrepresentation.
  • Sell, redistribute, transfer, or share medication prescribed to you.
  • Access or attempt to access another person’s account or health information.
  • Use the Services to obtain medication for another person.
  • Interfere with the operation or security of the Services.
  • Circumvent security controls.
  • Reverse engineer protected technology except where legally permitted.
  • Use unauthorized bots, scraping technology, or other automated means to access the Services.

We may restrict or terminate an account where we reasonably believe these Terms have been violated, subject to applicable legal and clinical requirements.

Intellectual Property

The EdgeRx website, platform, trademarks, logos, branding, written content, graphics, software, interfaces, and other materials are owned by EdgeRx or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, EdgeRx grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, lawful use.

You may not, without prior written permission:

  • Copy or reproduce protected content.
  • Modify or create unauthorized derivative works.
  • Sell or commercially exploit EdgeRx content.
  • Use EdgeRx trademarks, branding, logos, or trade names.
  • Remove copyright, trademark, or proprietary notices.

No ownership rights are transferred to you by your use of the Services.

User-Generated Content and Reviews

If EdgeRx allows users to submit reviews, testimonials, comments, feedback, photographs, or other content, you are responsible for the content you submit.

You may not submit content that:

  • Is false, misleading, unlawful, defamatory, abusive, or infringing.
  • Violates another person’s privacy or intellectual-property rights.
  • Contains confidential medical information about another person.
  • Misrepresents your experience.

By submitting content for public display, you grant EdgeRx a non-exclusive license to use, reproduce, display, and distribute that content in connection with operating and promoting the Services, subject to applicable privacy and health-information laws.

If the website has no reviews, testimonials, comments, or user-content submission functionality, this entire section can be omitted.

Third-Party Services

The Services may rely on third-party providers, including:

  • Wizlo — telehealth technology, clinical workflows, patient portal, and related platform functionality.
  • Klaviyo — email and SMS communications.
  • Tapfiliate — affiliate attribution.
  • Gr4vy — payment processing.
  • Pharmacy and fulfillment partners.
  • Hosting, infrastructure, security, and other technology providers.

Your use of third-party functionality may also be subject to applicable third-party terms and privacy policies.

Website Content Is Not Medical Advice

Content available on the website—including articles, FAQs, product information, educational materials, and marketing content—is provided for general informational and educational purposes only.

It is not medical advice and does not replace an individualized evaluation by a licensed health-care professional.

Independent Clinical Decisions

All treatment eligibility, diagnosis, prescribing, dosing, laboratory requirements, treatment monitoring, modifications, and discontinuation decisions are made solely by independent licensed clinicians based on their professional judgment and the individual patient’s circumstances.

EdgeRx does not guarantee that any user will be eligible for treatment or receive a particular medication.

No Guaranteed Outcomes

Individual responses to treatment vary.

EdgeRx does not guarantee weight loss, symptom improvement, performance improvement, therapeutic benefit, or any other specific health or treatment outcome.

Not for Emergencies

The Services are not an emergency medical service.

Call 911 or seek appropriate emergency medical attention for an emergency.

Disclaimer of Warranties

Except as otherwise required by applicable law, the Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, EdgeRx disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and similar implied warranties.

Limitation of Liability

To the fullest extent permitted by applicable law, EdgeRx and its officers, employees, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or revenues, arising from or relating to your use of the Services.

To the fullest extent permitted by applicable law, EdgeRx’s aggregate liability arising from or relating to the Services or these Terms will not exceed the amount you paid to EdgeRx during the twelve months preceding the event giving rise to the applicable claim.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded or to improperly limit liability arising from the professional negligence of an independent treating provider.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless EdgeRx and its officers, employees, and affiliates from claims, liabilities, losses, damages, and reasonable expenses arising from:

  • Your material breach of these Terms.
  • Unlawful misuse of the Services.
  • Your violation of applicable law or the rights of another person.
  • Knowingly providing materially false information.

Dispute Resolution — Binding Arbitration and Class Action Waiver

This section can materially affect legal rights and should be approved by EdgeRx legal counsel before publication.

Agreement to Arbitrate

Except for claims that qualify for small-claims court or otherwise cannot lawfully be required to arbitration, you and EdgeRx agree that covered disputes arising out of or relating to these Terms, the Services, or your relationship with EdgeRx will be resolved through binding individual arbitration.

Arbitration Provider and Rules

Arbitration will be administered by JAMS or the American Arbitration Association, as applicable, under the applicable consumer arbitration rules.

The arbitration will be conducted before a single arbitrator.

Delegation

To the extent permitted by law, questions regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement will be determined by the arbitrator, except where applicable law requires a court to decide a particular issue.

Class Action Waiver

To the extent permitted by law, you and EdgeRx agree to bring covered disputes only in an individual capacity and not as a plaintiff or class member in a purported class, collective, consolidated, or representative action.

30-Day Opt-Out Right

You may opt out of this arbitration agreement by sending written notice within 30 days after first accepting these Terms.

The notice should include your name, account email address, and a clear statement that you are opting out of arbitration.

Arbitration Costs

Allocation of arbitration fees and costs will be governed by the applicable arbitration provider’s consumer rules and applicable law.

Severability

If a portion of this arbitration agreement is held unenforceable, the remaining provisions will continue to apply to the extent legally permitted.

Do not publish this arbitration section without counsel review. The client itself specifically flagged this as high-litigation-exposure language.

Governing Law and Venue

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles, except where federal law applies or applicable consumer-protection law cannot lawfully be waived.

The Federal Arbitration Act governs the interpretation and enforcement of any enforceable arbitration agreement contained in these Terms.

Subject to the arbitration provisions above and applicable law, any dispute that is properly brought in court shall be brought in a court of competent jurisdiction located in Clark County, Nevada.

Nevada statutes recognize contractual venue considerations, but because venue provisions can interact with mandatory consumer-protection laws, this wording should still be approved by counsel.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, business practices, or applicable legal requirements.

The revised Terms will be posted on this page with an updated effective date.

Where required by law, additional notice or consent may be provided or obtained before a material change takes effect.
